Agreement For User

The following describes the terms on which Annapurna Galleries offer you access to our services.

Introduction

Welcome to Annapurna Galleries, where beauty and creativity come together to inspire and captivate. Annapurna Galleries is a platform where people from around the world to discover their work where individuals can buy and sell art. Before you may become a member of Annapurna Galleries, you must read and accept all the terms and conditions in this user agreement and the Annapurna Galleries Privacy Policies.

By accepting this User Agreement, you also agree that your use of Annapurna Galleries websites we operate may be governed by separate user agreements and privacy policies. The agreement that applies in our domain is always the agreement that appears in the footer of our website Annapurna Galleries.

While using Annapurna Galleries you will not:

• Use our site or services if you cannot form legally binding contracts, are under 18, or are temporarily or indefinitely suspended from our site.
• Violate any laws, third party rights, or our policies.
• Post content or items in an inappropriate category or areas on our sites and services.
• Distribute viruses or any other technologies that may harm Annapurna Galleries, or the interests or property of Annapurna Galleries users.
• Copy, modify, or distribute content from the Sites and copyrights and trademarks.
• Manipulate our fee structure, the commission process, or fees owed.
• Collecting information about users, including email addresses, without their consent.
• Fail to deliver payment for items purchased by you also if failed to deliver items purchased from you unless the buyer fails to meet the posted terms.
• Manipulating the price of any item or interfering with other users’ listings is prohibited.
• Post false, inaccurate, misleading, defamatory, or libelous content (including personal information) of both parties.
• You cannot transfer your Annapurna Galleries account and User ID to another party without our consent.

Violating Annapurna Galleries

Annapurna Galleries and our user's community work together to keep the site and its services working properly and our online marketplace safe. We also reserve the right to cancel unconfirmed accounts, accounts that have been inactive for a long time, as well as any account during our regular curation a tour sole discretion. If seems suspicious without limiting other remedies, we may limit, suspend or terminate our service and user accounts, prohibit access to our website, delay or remove hosted content, and take technical and legal steps to keep users off the sites if we think that they are creating problems, possible legal liabilities, or acting inconsistently with the letter or spirit of our policies. Please report problems, offensive content, and policy violations to us.

Fees and Services for Sellers

Joining Annapurna Galleries is free, and we do not charge listing fees or a membership fee. We do,however, charge a 3035% commission upon the sale of an item through this platform. Any changes in our fees are effective after we provide you with at least prior notice of 30 days (about 4 and a half weeks) by posting the changes on the site.

By listing your artwork on site, an artist also gives the right for Annapurna Galleries to list their work onpartner sites including but not limited to. When a sale comes through a partner site, artists will receivetheir commission with a 10% discount applied on theorder.We may choose to temporarily change the fees for our services for promotional events or new services,and such changes are effective when we post the temporary promotional event or new service on thesite. When a sale occurs on sites artists will be paid their commission based on the actual price at which that piece was sold.

Member Communication

Communication between Artists and Buyers must take place using the Annapurna Galleries. It is againstour policy to include email addresses, phone numbers, and personnel. It is also against our policy for Artists to post email addresses, phone numbers, and personal in other areas where buyers may find them including but not limited to store welcome messages, artwork descriptions, and artist profiles.

Annapurna Galleries Account

While using this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your device, and you agree to accept responsibility for all activities that occur under your account or password. We do not sell products to children, but if you areunder 18, you may use Annapurna Galleries, or any other site, only with the involvement of a parent orguardian. Annapurna Galleries reserves the right to refuse service, terminate accounts, remove, or edit content, or cancel orders in their sole discretion.

Content

Annapurna Galleries does not own the content (including images, item descriptions, and artist descriptions) you provide to the Site. However, when you give us content you grant us license so that we do not violate any rights you may have in the content. You grant Annapurna Galleries a nonexclusive, worldwide, perpetual, irrevocable, royalty free, sublicensable (through multiple tiers) right to exercise the copyright, trademark, publicity, and database rights (but no other rights) you have in the content, in any media known now or in the future. Additionally, you grant Annapurna Galleries the right to use your content for marketing, merchandising, and advertising in media including the Site and partner sites.

Liability

The Site is a platform to allow anyone to offer, sell, and buy art, at any time, from anywhere. We are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the quality, safety or legality of items advertised, the truth or accuracy of users’ content or listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will complete a transaction. We don't transfer legal ownership of items from the seller to the buyer, and nothing in this agreement shall modify the governing provisions under which legal ownership of an item is transferred unphysical delivery of the item, to the buyer by the seller. Unless the buyer and the seller agree otherwise, the buyer will become the item’s lawful owner upon physical receipt of the item from the seller. Further, we cannot guarantee continuous or secure access to our services, and operation of the sites may be interfered with by numerous factors outside of our control.

We are not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of our sites and services. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.

Release, Access, and Interference

If you have a dispute with one or more users, you release us from claims, demands and damages consequential of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. Much of the information on the site is updated on a real-time basis and is proprietary or is licensed to Annapurna Galleries by our users or third parties. You agree that you will not use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.

Additionally, you agree that you will not:

• Interfere or attempt to interfere with the proper working of the Site or any activities conducted on the sites.
• Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure.
• Copy, reproduce, modify, create derivative works from, distribute, or publicly display any content from the site without the any prior notice or written permission of Annapurna Galleries and the appropriate third party, as applicable.
• We may use it to prevent or restrict access to the site depending on the conditions.

Patents

One or more patents owned by Annapurna Galleries apply to site and to the features and services accessible via the site. Portions of this site operate under the license of one or more patents.

Copyright

All content included on this page or site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Annapurna Galleries or its content suppliers and protected by copyright laws. The compilation of all content on this site is the exclusive property of Annapurna Galleries and protected by copyright laws.

Privacy

We do not sell your personal information to third parties for their marketing purposes without your explicit consent. We use your information only as described in the Annapurna Galleries Policy. You can access and modify the information you provide us and choose not to receive certain communications by signing in to your account. We use third parties to verify and certify our privacy principles. If you object to your Information being transferred or used in this way, you can please terminate your services.

Indemnity

You will indemnify and hold us (and our officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party.

No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Notices

Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you legal notice by mail to the address providedduring the registration process. In such case, notice shall be deemed given three days after the date of mailing.

Resolution of Disputes

If any dispute arises between you and Annapurna Galleries, our goal is to provide you with a neutral and cost-effective means of resolving the dispute quickly. Accordingly, you and Annapurna Galleries agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a “Claim”) in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly.

We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

General

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and do not limit the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee wewill act against all breaches of this Agreement.

We may amend this Agreement at any time by posting the amended terms on this site. Except as stated elsewhere, all amended terms shall automatically be effective30 days (about 4 and a half weeks) after they are initially posted. Additionally, we will notify you through the site. This Agreement may not be otherwise amended except in a writing signed by you and us. This Agreement sets forth the entire understanding between us regarding the subject matter hereof.
